3. No Professional or Fiduciary Relationship

Use of this Platform does not create:

• Client relationships
• Fiduciary relationships

Any relationship formed is strictly between the Reader and the independent Tax Professional they engage.

4. Lead Generation Marketplace

HelpMeDoTaxes.com operates as a lead-generation marketplace connecting Readers with independent Tax Professionals.

Lead Flow

1. Readers submit inquiry forms.
2. Readers must verify their email prior to lead activation.
3. Submissions become marketplace leads.
4. Leads are displayed to Tax Pros within a marketplace dashboard.
5. Tax Pros may purchase leads.
6. Upon purchase, the lead becomes exclusive and is transferred to the buyer’s “My Leads” panel.

5. Exclusive Lead Ownership

All leads sold through the Platform are exclusive.

Once purchased:

• The lead is permanently assigned to the purchasing Tax Pro.
• Leads are not resold or reassigned.
• Ownership does not expire.
• The purchasing Tax Pro retains lifetime access to submitted data.

6. Lead Pricing & Purchasing

Lead pricing may vary based on:

• Submission data
• Service complexity
• User needs
• Geographic factors

Pricing is displayed prior to purchase.

Payments are processed through third-party processors (e.g., Stripe).

We reserve the right to:

• Adjust pricing
• Offer bulk discounts
• Provide promotional rates

7. Lead Verification Disclaimer

Readers are required to verify their email prior to submission acceptance.

This email verification represents the primary validation method for lead authenticity.

However, we do not guarantee:

• Lead responsiveness
• Conversion outcomes
• Client retention
• Revenue generation

Lead purchases are made at the Tax Professional’s discretion and risk.

8. Refunds & Credits

Due to the nature of digital lead delivery:

• All lead sales are final.
• Refunds are not guaranteed.
• Credits or replacements may be issued solely at the discretion of Charivia, LLC.

Lead validity is determined by submission authenticity, not conversion success.

9. Tax Professional Accounts

By registering as a Tax Professional, you agree that:

• Credentials submitted are truthful.
• Licensure is valid and current.
• Services comply with applicable laws and regulations.
• You will not misrepresent qualifications.

We may manually review and verify credentials.

Verification status does not constitute endorsement or guarantee.

10. Professional Independence

Tax Pros are independent third parties.

Charivia, LLC does not:

• Employ Tax Pros
• Supervise tax services
• Guarantee service quality
• Guarantee licensure standing

Readers must independently verify professional credentials.

11. Professional Conduct & Removal

We reserve the right to suspend or remove Tax Pros for:

• Fraudulent activity
• Credential misrepresentation
• Harassment of leads
• Misuse of Platform data
• Violation of these Terms

Removal may occur without prior notice.

12. User Responsibilities

All users agree to:

• Provide accurate information
• Use the Platform lawfully
• Not impersonate others
• Not submit fraudulent inquiries

We may suspend or restrict access for misuse.

13. Limitation of Liability

To the fullest extent permitted by law, Charivia, LLC is not liable for:

• Tax filing errors
• Professional misconduct
• Financial losses
• Audit outcomes
• Reliance on educational content
• Lead conversion outcomes

Use of the Platform is at your own risk.

14. Indemnification

You agree to indemnify and hold harmless Charivia, LLC from claims arising from:
